This End-User License Agreement (“Agreement“) is a legal agreement between you (“Licensee“) and TransNational Computer LLC (“Licensor“), a company with a registered address in Dubai, United Arab Emirates.

BY INSTALLING, ACCESSING, OR USING THE ACCOUNTINGSUITE SOFTWARE PRODUCT (“THE SOFTWARE“), YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

2. Grant of License

  • 2.1.1. For On-Premise Version: A license to install and use the Software on computers as specified in the applicable Supplemental End-User License Agreement(s).
  • 2.1.2. For Cloud Version: A subscription-based license to access and use the hosted service during the active subscription term.

2.2. Supplemental Agreements. Your use is further governed by any Supplemental End-User License Agreement(s), which define parameters such as the number of users, workstations, or other usage metrics. The number of user licenses must equal or exceed the number of distinct inputs (direct, indirect, or via multiplexing/pooling hardware/software) accessing the Software.

2.3. If a hardcopy direct license agreement is concluded and signed between Licensee and Licensor and its conditions come to contradiction with the conditions of this End User License agreement, the hardcopy direct license agreement shall take precedence.

3. Rights and restrictions

3.1. The number of user licenses required must equal the total number of users who can access the Software, including those accessing it indirectly through a shared connection (e.g., a terminal server). Using technology to pool connections does not reduce the number of licenses needed.

3.2. Client-Server Mode. To use the Software in client-server mode, the Licensee must obtain a valid server license for the 1C:Enterprise 8 platform and comply with all terms of that separate server license agreement.

3.3. The Licensee agrees to respect the Licensor’s exclusive rights to the software and, in particular, shall not perform, or permit any third party to perform, the following activities without the Licensor’s prior written consent:

  • 3.3.1. Distribution and Sublicensing. Copy, distribute, lease, license, sublicense, or otherwise make the Software available to any third party, including through Internet access, service bureau, or time-sharing arrangements.
  • 3.3.2. Modification and Derivation. Modify, adapt, translate, or create derivative works based on the Software’s code, databases, or datasets. Modify or alter the behavior of the underlying 1C:Enterprise 8 platform. Exception: The foregoing restrictions do not apply to modifications made strictly through the native, documented configuration and customization tools provided within the 1C:Enterprise 8 platform.
  • 3.3.3. Development and Integration. Develop add-ons, integrations, or other software systems that access the Software’s infobases or interact with its API using any tools or methods not expressly provided by the native functionality of the 1C:Enterprise 8 platform.

3.4. All intellectual property rights in the Software and related Documentation are and shall remain the exclusive property of Licensor and its licensors.

4. Transfer of rights to third parties

4.1. Conditions for Transfer. The Licensee may assign or transfer all of its rights under this Agreement to a third party on a one-time, permanent basis, provided that the Licensee simultaneously:

  • 4.1.1. transfers the original distribution package and all related documentation, including this Agreement, to the transferee;
  • 4.1.2. permanently deletes and destroys all copies and installations of the Software from its computer systems and any other devices; and
  • 4.1.3 provides written notice to the Licensor of the transfer, including the effective date and the transferee’s full contact information..

4.2. Transfer of Subscription. Upon a valid transfer under Section 4.1, any active subscription for Updates and Technical Support will be assigned to the transferee. The transferee shall be solely responsible for all subsequent renewal fees and payments. The Licensor is not responsible for prorating or refunding any subscription fees paid by the original Licensee.

4.3. Effect of Transfer. Upon completion of the transfer and confirmation by the Licensor, the original Licensee’s rights under this Agreement will immediately terminate, and the transferee will be deemed the “Licensee” and will be bound by all the terms and conditions of this Agreement.

5.2. Authorized Support Channel. All requests for technical support must be submitted exclusively from the Authorized Email address registered to the subscription account with subscription owner type. • 5.3.1. Reviewing and verifying potential malfunctions and bug situations within the Software.
  • 5.3.2 Issuing corrective releases, patches, and workarounds for verified errors in the Software.

5.4. Exclusions from Technical Support.

  • 5.4.2. Configuration and Customization. Technical support does not include assistance with the initial configuration, customization, integration, or setup of the Software for the Licensee’s specific business processes. For help with these services, the Licensee must contact the authorized partner from whom they acquired the license.
  • 5.4.3. Support for Older Versions. For the On-Premises Version, technical support and the right to receive Updates are provided only for the most recent generally available version of the Software and the immediate previous version. Licensor is under no obligation to provide support, develop Updates for, or otherwise maintain any older versions of the Software.

The Licensee acknowledges that methodological support, configuration, customization, and operational consulting are provided by authorized implementation partners under separate agreements. Licensor is not a party to such agreements and is not liable for any services rendered by partners.

5.6. Terms and conditions for any technical support services optionally provided directly by Licensor are published on Licensor’s website at:  https://accountingsuite.io/support-policy. Licensor reserves the right to modify these terms at any time. Material changes will be communicated to subscribers via the Authorized Email address or through a notice within the Software.

6. Limitation of liability

6.1. THE SOFTWARE IS PROVIDED “AS IS.” LICENSOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIMS ANY WARRANTY THAT THE SOFTWARE WILL COMPLY WITH LOCAL LAWS OR SATISFY THE LICENSEE’S PARTICULAR NEEDS.

6.2. LICENSOR PROVIDES NO WARRANTY, AND DISCLAIMS ALL RESPONSIBILITY, FOR THE PERFORMANCE OF ANY THIRD-PARTY SOFTWARE CREATED USING THE LICENSOR’S PRODUCTS AND HOW THE LICENSOR’S PRODUCTS WILL PERFORM WITHIN ANY SUCH THIRD-PARTY SOFTWARE.

6.3. LICENSOR CANNOT BE HELD LIABLE FOR ANY LOSSES OR DAMAGES SUFFERED BY LICENSEE REGARDLESS OF THEIR NATURE (INCLUDING THE LOSS OF PROFIT, CLAIMS BY THIRD PARTIES, ETC.) THAT MAY RESULT FROM USAGE OF LICENSOR’S PRODUCTS. IN ANY CASE, LICENSOR’S TOTAL AND CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT OF LICENSE FEES PAID BY LICENSEE TO LICENSOR FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

7. Term and Termination

7.1. Term. This Agreement takes effect upon the Licensee’s acceptance and remains in effect until terminated as provided herein.

  • 7.1.1. On-Premises Version: For perpetual licenses, the Licensee’s license is perpetual but may be terminated for breach of the Agreement. The right to receive updates and technical support is contingent on payment of an active subscription fee.
